Delaware and the Anti-Shareholder Bias

We have been a bit remiss in our coverage of decisions coming out of Delaware.  There have been a couple in recent weeks that deserve note.  Over the next week or so, each morning, we will run a post on some of these decisions.  They include Wood v. Baum and In re Transkaryotic.  The cases raise a number of intriguing legal issues.  They also contain language and tone that reflects a harsher view of plaintiffs (shareholders) than defendants (boards of directors) .  We have noted this in Wood with our post on the use of the term prolix.  We will continue the theme in later posts.
